1. Introduction & Acceptance

Welcome to ChartTalk.ai ("ChartTalk," "we," "our," or "us"). ChartTalk is an AI-powered platform that provides chart generation and market analysis tools for educational and informational purposes.

By accessing or using our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use our services.

You must be at least 18 years of age to use ChartTalk. By using our services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Account Terms

To access certain features of ChartTalk, you must create an account. You may register using:

• Google OAuth authentication
• Email with one-time password (OTP) verification

When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account
• Maintain only one account per person

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

3. Subscription & Billing

3.1 Plans and Pricing

ChartTalk offers the following subscription plans:

• Free: $0 - Basic access with limited features
• Pro: $29/month or $290/year - Enhanced features for everyday trading
• Max: $99/month or $990/year - Full access for high-volume users

3.2 Payment Processing

All payments are processed securely through Paddle, our payment provider. By subscribing to a paid plan, you authorize Paddle to charge your payment method on a recurring monthly basis.

3.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current subscription fee unless you cancel before the renewal date.

3.4 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription will remain active until the end of the current billing period
• You will not be charged for subsequent billing periods
• No prorated refunds will be provided for unused time

3.5 Refund Policy

We want you to be satisfied with ChartTalk. Our refund policy is as follows:

• 14-Day Money-Back Guarantee: If you are not satisfied with your subscription, you may request a full refund within 14 days of your initial purchase or renewal.
• How to Request: Contact us at contact@charttalk.ai with your account email and reason for the refund request.
• Processing Time: Refunds are processed within 5-10 business days through our payment provider, Paddle.
• After 14 Days: Refund requests made after the 14-day period will be reviewed on a case-by-case basis.

3.6 Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing period.

4. Service Usage & Limits

Each subscription plan includes specific usage limits. Exceeding these limits may result in temporary service restrictions.

Usage limits reset daily at midnight UTC. We reserve the right to modify these limits with reasonable notice.

5. Acceptable Use Policy

You agree not to use ChartTalk to:

• Engage in automated scraping, crawling, or bot-based access without prior written consent
• Attempt to circumvent usage limits or rate restrictions
• Resell, redistribute, or sublicense access to our services
• Use the service for any illegal purpose or in violation of any laws
• Transmit malware, viruses, or other harmful code
• Interfere with or disrupt the integrity or performance of our services
• Attempt to gain unauthorized access to our systems or user accounts
• Impersonate any person or entity or misrepresent your affiliation
• Use the service to manipulate markets or engage in market fraud

Violation of this policy may result in immediate termination of your account without refund.

7. Intellectual Property

7.1 Our Intellectual Property

ChartTalk, including its name, logo, website, software, algorithms, and all related intellectual property, are owned by ChartTalk and protected by applicable copyright, trademark, and other intellectual property laws.

7.2 Your Content

You retain ownership of any content you create using our services, including generated charts and analysis. By using our services, you grant us a limited license to process and display your content as necessary to provide the service.

7.3 License to Use Charts

Charts generated through ChartTalk may be used for:

• Free users: Personal, non-commercial use only (with watermark)
• Pro/Max users: Personal and commercial use, including in publications, presentations, and social media

Market data displayed in charts is sourced from third-party providers and may be subject to additional terms and attributions.

8. Data & Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

By using ChartTalk, you consent to:

• Collection of account information necessary to provide our services
• Use of analytics to improve our services
• Processing of payment information by our payment provider (Paddle)
• Authentication through third-party services (Google OAuth)

9. Service Availability

ChartTalk is provided on an "as-is" and "as-available" basis. We strive to maintain high availability but do not guarantee uninterrupted access to our services.

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the service at any time
• Perform scheduled maintenance with reasonable advance notice when possible
• Implement emergency maintenance without notice when necessary
• Limit or restrict access to certain features or functionality

We are not liable for any loss or damage resulting from service interruptions, whether planned or unplanned.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• ChartTalk shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• ChartTalk shall not be liable for any loss of profits, revenue, data, or business opportunities
• ChartTalk shall not be liable for any trading or investment losses
• Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim

These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless ChartTalk and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Your trading or investment decisions
• Any content you submit or share through our services

12. Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from or relating to these Terms or your use of our services shall be resolved through:

1. Informal Resolution: We encourage you to contact us first to resolve any disputes informally.
2. Binding Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration rather than in court.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes:

• We will notify you via email or through our services for significant changes
• Changes will become effective 30 days after posting unless otherwise specified

Your continued use of ChartTalk after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you should discontinue use of our services.
